TLDR — Management Buyouts: Selling Your Business to the Team Who Runs It

A management buyout lets you sell your business to the people who already know it best — your management team. In 2026, MBOs represent a growing share of UK SME exits as a generation of founders approaches retirement.

The advantages are significant: continuity (customers see the same faces, employees keep their jobs), confidentiality (no competitors reviewing your books), speed (less due diligence because the buyers already understand the business), and legacy (the business continues in the spirit you built it).

Funding typically comes from four sources. Vendor finance, where the seller accepts payment over 2 to 5 years. Senior bank debt, secured against the business. Management equity, where the buying team invests 10 to 30 per cent personally. And for larger deals, private equity or mezzanine finance to bridge the gap.

Valuations are based on multiples of EBITDA — typically 3x to 7x for UK SMEs. The factors that increase the multiple: consistent growing earnings, low owner dependency, diversified revenue, recurring income streams, a strong management team, and clean financial records.

Tax-wise, sellers can access Business Asset Disposal Relief at 14% on the first £1 million of qualifying gains. Above that, standard CGT rates of 18% or 24% apply. Vendor loan notes can defer some of the liability, but the structure needs specialist advice.

The process: initial conversation, heads of terms, funding secured, due diligence, legal documentation, completion, and a transition period of 6 to 12 months. The whole timeline is typically 6 to 9 months from first conversation to completion.

The risks: emotional complexity (negotiating with colleagues), funding gaps if the team cannot meet the price, capability gaps (running and owning are different skills), and tax pitfalls from poor structuring. An MBO works best when it is planned 2 to 3 years in advance — not forced by circumstances.
